An Organization is established and is named: "REAL ESTATE ATTORNEYS AT LAW", which assumes the juridical form of Association and whose shortened form is "REAL".



The principal seat of the Association is located in Rome (Italy), in 217 Via Cola di Rienzo.


Official Language and Official Logo

Official language of the Association is English.

The logo of the Association, is formed by the wording "REAL" in blue, with the words "Real Estate Attorneys at Law" below, and five blue lines forming a sphere, which cover the rest of the mentioned logo parts, on the top.



The Association is constituted with the prospective of unlimited duration.


Aims of the Organization and Objectives

The main object of the Association is the creation of a professional network able to link the legal professionals and Law Firms involved in the Real Estate all over the world, with the final goal of sharing knowledge and keeping working contacts in order to provide the best service in the field of Real Estate.

It will be an appropriate mechanism of globalizing acquaintances, which will also be useful for learning purposes.

In addition, the Association will promote the establishment of working partnerships and the creation of job opportunities to achieve the targets concerning the Real Estate Market.


Realization of Finalities

Actions may being taken by the Association, could include:
- the maintenance of a web page for the diffusion of the material produced by the Association;
- the diffusion of periodic information about the most important activities of the Association;
- the publication of essays and reports analyzing the performance of the Association.

The Association will be also able to carry out all necessary and useful operations to achieve its goals.


Domain of Realization of Finalities

The Association will use as principal tool of communication among the members the Internet, on recognizing the ease and rapidity of this system and due to the fact that this communication could be necessary maintained among people from different countries all over the world.

The members could also use other communication methods if agreed among themselves.


Members Requirements

The Association is open to all those people over 18 with capacity to act who want to explore and develop the Real Estate background.

Potential members will have to submit a written application sending an e-mail to the e-mail address provided by the website of the Organization. Then, they will have to be admitted by the Executive Committee of the Association.

Members will not have to pay any fee to be part of the Association.


Rights of the Members

The members have the right to be informed about the activities of the Association.

They have the right to take part in the General Assemblies and to vote the different proposals.

They have the right to elect and to be elected to management positions.

They have the right to make all written proposals they consider appropriate.

Members have the right to request information to the Association managers about all progress and advances.

They have the right to exercise all rights that belong to them for being part of the Association, as established by the competent laws and organs.


Duties of the Members

The Association members must develop their own activity without aim of profit.

They are obliged to respect the rules of this Statute.

They will have to participate in the activities of the Association and working for the achievement of its goals.

They must take part, intervene and vote at the Members Assembly.



The members of the Association can be excluded if they contravene the duties established by the present statute.

They can be debarred from the rights if their behavior is against the interests of the Association or it damages it in a moral or material way.

They can be excluded if they do not satisfy their duties without some justified reason.

The exclusion will be deliberated by the competent organs.


Association Organs

The Association will have, as minimum, two organs:
a. The General Assembly.
b. The Executive Committee.


The General Assembly

The General Assembly of Members is the organ which expresses the willingness of the members. It will be composed of the Executive Committee and the members.

Its agreements will be adopted by the principle of majority or by internal democracy, and it will have to gather, at least, one time a year.

The General Assembly can be gathered as ordinary or extraordinary in the way and competences determined in the Statute.


Convocation of the Gathering of the General Assembly

The General Assembly will gather as many times as the Executive Committee states.

In first call, the Assembly will be constituted regularly with the presence of half more one of the Organization members, who can also do a conferred delegation to other member.

In second call, the Assembly will be constituted regularly with any number of members, also those in delegation.


Legal Standing for the Convocation of the Gathering of the General Assembly

Gatherings of the Assembly will be convened by the President of the Association. He can convene it by his own initiative, by agreement of the Executive Committee, or by a written request signed by the 10% of the legal number of members.

The request of the convocation must include the agenda of the day, and all the necessary documents and information for the adoption of decisions must be included.

The request will have to be submitted to the Secretary of the Association.

The Secretary of the Association will check all formal requirements and then will inform the President, who will convene the gathering of the General Assembly.

If these formal requirements were not respected at the time of making the request, the Secretary will not considered the request was made, and he will have to inform the member whose name appears in first place in the list.


Form of the Convocation

All members will have to be informed about the convocation of the gathering by electronic mail or by other appropriate mean with at least 30 days of advanced.

If there is any bulletin board, the information about the convocation will have to be exposed there too.


Ordinary General Assembly

The Ordinary General Assembly will have to be convened to deal with the following issues:
1. Reading and approval of the minutes of the previous session.
2. Study and approval of the previous tax year.
3. Study and approval of the year budgets.
4. Study of the activities and approval of the Executive Committee management.
5. Approval of the Activity Programme.


Extraordinary General Assembly

If any agreement not included in the agenda must be adopted, the convocation of the extraordinary General Assembly will be required, specifically to deal with the following issues:
1. Partial or total modification of the Statute.
2. Dissolution of the Association.
3. Designation of the Executive Committee.
4. Sale of goods.
5. The incorporation of a Federation or an Union of Associations.
6. Approval of change of address.


Deliberation and Adoption of Agreements

All issues will be discussed and voted as they appear in the agenda.

The President will begin the discussion. He will open a round of speech in which the members could participate with the previous permission of the President.

Agreements of the General Assembly will be adopted by the principle of simple majority.


Faculties of the General Assembly

The General Assembly will deal with:
a. the modification of the Statute.
b. the election of the Executive Committee members.
c. the agreement of dissolution of the Association.
d. all issues conferred to the General Assembly.


General Assembly Agreements

All agreements and resolutions adopted by the General Assembly will be compulsory all members.


Executive Committee

The Executive Committee is the body of government and administration of the Association and it will work following the guidelines of the Assembly.

The Executive Committee will be composed of the President, the Treasure and the Secretary.

The Executive Committee will gather when the President or 1/3 of the members request it.

It will be constituted validly when it is attended by the majority of the components.


Election of the Executive Committee

To be a member of the Executive Committee is necessary to be over 18 and to be in full possession of civil rights.

All the members of the Executive Committee will be elected among the members of the Association in the extraordinary General Assembly.

Members who want to be elected must submit their candidacy previously, at least, 24 hours before the celebration of the Assembly.


Positions Termination

The reasons of termination are as follows:
1. Death or declaration of death.
2. Incapacity or disqualification.
3. Ending of the time for the position.
4. Court resolution.
5. Agreement adopted by the General Assembly.
6. Resignation.
7. Loss of membership.


Faculties of the Executive Committee

The Executive Committee will deal with:
a. the setting of the date and communication of the General Assembly gathering.
b. the making of the activity plan.
c. the organization and development of all activities approved by the General Assembly.
d. the interpretation of the statute.
e. the elaboration of the budget.


The President of the Executive Committee

The President will be chosen by the General Assembly among the members and by majority.

His term will last as the one of the Executive Committee.

The President represents the voluntary Association and he undertakes all the actions in behalf of the Association.

The president presides the Executive Committee's gatherings and he takes care of the carrying out of them.


The Treasurer

The Executive Committee can nominate a treasurer among its members.

The treasurer's faculties will be:
1. to keep the accounting records.
2. to draw up the budgets and the balance sheets.
3. to precise an accounting of the Association's goods.


The Secretary

The Secretary will have the following faculties:
1. to draw up a record of the gatherings.
2. to issue authentication documents.
3. to keep, preserve and have custody of the registration books, files and other documents
4. to keep the registers.
5. to write the annual record, the activity programmes and all necessary documents.


The Financial Resources

The Association will have his own and independent financial resources.


Types of Financial Resources

The financial resources for the purpose of the Association's goals will be as follows:
1. Voluntary contributions of the members.
2. Incomes that the Association could receive for the performance of its activities.
3. Donations or grants that could be bestowed to the Association.


Arbitration Clause

All controversies related to the Statute that could not be solved by ordinary judges will be decided by an arbitration process.


Legal Validity

Only the original source text of the Statute will be legally valid and legally binding.


Final Clause

Every Law Firm member of Real Attorneys at Law Association is absolutely independent in its own actions, and do not have to be queried for other Law Firms conduct who act in autonomy, being the main purpose of the Association to merely share knowledge and to keep working contacts in order to provide the best service in the field of Real Estate.
